ShokaConnect is a business-to-business platform that connects verified companies with businesses seeking services or solutions. By accessing or using the ShokaConnect platform, you agree to be bound by these Terms and Conditions. If you do not agree with these Terms, you must not use the platform.
1. About ShokaConnect
ShokaConnect is a digital platform that enables businesses to discover verified companies, view company profiles and services, review company ratings and feedback, publish project requests, and receive and evaluate proposals from service providers.
ShokaConnect operates as a technology platform and marketplace facilitator. ShokaConnect does not provide the services listed by companies and is not a party to any contract formed between businesses using the platform.
2. Definitions
For the purposes of these Terms:
- Platform: The ShokaConnect website, applications, and related services.
- Company: A registered business listed or registered on the platform.
- Project Owner: A company that publishes a project request.
- Vendor: A company that submits proposals to perform services for a project.
- Proposal: A formal response submitted by a Vendor outlining the scope, pricing, and timeline for a project.
- Company Profile: A public page representing a company on ShokaConnect, including company details, services, and ratings.
- Escrow Protection Fee: A platform fee charged by ShokaConnect equal to 5% of the total project value for facilitating secure engagement between companies.
3. Eligibility and Accounts
To use ShokaConnect:
- You must represent a legitimate business or organisation.
- You must provide accurate and truthful information.
- You must maintain the security of your account credentials.
- Each account must represent a real company or authorised business entity.
- You are responsible for all activities that occur under your account.
ShokaConnect reserves the right to suspend or terminate accounts that provide false information, misrepresent a company, violate these Terms, or engage in fraudulent or abusive behaviour.
4. Company Profiles
Companies may maintain a Company Profile on the platform. Profiles may include company name, business description, industry, services offered, location, portfolio or experience, and ratings and reviews.
Companies are responsible for ensuring that all information provided is accurate, truthful, and not misleading. ShokaConnect reserves the right to modify, restrict, or remove profile content that violates these Terms.
5. Company Verification
ShokaConnect may verify companies before or after they are listed on the platform. Verification may include reviewing company registration information, supporting documentation, contact details, and other business credentials.
Verification is intended to improve trust within the platform. However, verification does not guarantee the quality, reliability, or performance of any company. Businesses are responsible for conducting their own due diligence before entering into agreements with other companies.
6. Ratings and Reviews
Users may leave ratings or feedback regarding companies they have interacted with. Reviews must be honest, based on genuine interactions, and not contain abusive, misleading, or defamatory content.
ShokaConnect reserves the right to remove reviews that violate these standards. ShokaConnect does not guarantee the accuracy of user-generated ratings or reviews.
7. Project Requests
Project Owners may publish project requests describing services they require. Project Owners are responsible for ensuring that the information they provide is accurate and lawful.
8. Proposal Submission
Vendors may submit proposals in response to project requests. Submitting a proposal does not guarantee selection.
9. Independent Business Relationships
When a Project Owner accepts a proposal, any resulting agreement is solely between the Project Owner and the Vendor. ShokaConnect is not a party to the agreement, does not control project execution, does not guarantee project completion, and does not resolve contractual disputes.
All contractual obligations, deliverables, payments, and disputes are the responsibility of the companies involved.
10. ShokaConnect Escrow Protection Fee
To support secure engagements and platform operations, ShokaConnect charges a 5% Escrow Protection Fee on accepted projects. The fee is calculated as 5% of the total project value and is charged when a project proposal is accepted. This fee supports platform services, including company verification, project facilitation, and dispute protection mechanisms.
11. Payments Between Companies
Unless explicitly stated otherwise, ShokaConnect does not process payments between companies. Payments, invoicing, and financial agreements must be arranged directly between the Project Owner and Vendor. ShokaConnect is not responsible for payment disputes, late payments, project delivery issues, or contractual disagreements.
12. Acceptable Use
Users of the platform must not:
- Impersonate another company
- Submit fraudulent information
- Misuse of confidential information
- Attempt to manipulate ratings or reviews
- Engage in spam or abusive communication
Violations may result in account suspension or permanent removal from the platform.
13. Intellectual Property
Companies retain ownership of all intellectual property they submit to the platform, including proposals and company materials. However, by submitting content to the platform, users grant ShokaConnect a limited license to display and distribute such content for the purpose of operating the platform.
14. Confidentiality
Users agree to treat project details, proposals, and business information obtained through the platform as confidential unless otherwise agreed. ShokaConnect is not responsible for the misuse of confidential information shared between companies.
15. Limitation of Liability
To the maximum extent permitted under South African law, ShokaConnect shall not be liable for business losses, loss of profits, project failures, contractual disputes between companies, or damages arising from services performed by companies listed on the platform. Use of the platform is at your own risk.
16. Termination
ShokaConnect reserves the right to suspend or terminate access to the platform if a user violates these Terms, engages in fraudulent behaviour, or attempts to compromise platform security.
17. Changes to These Terms
ShokaConnect may update these Terms from time to time. Updated Terms will be published on the platform. Continued use of the platform after changes are published constitutes acceptance of the updated Terms.
18. Governing Law
These Terms and Conditions are governed by the laws of South Africa. Any disputes arising from the use of the platform shall be subject to the jurisdiction of the courts of South Africa.
